All clients must execute a Business Associate Agreement (BAA) prior to platform access. Execution of the BAA is a non-negotiable prerequisite to digital delivery and constitutes a binding legal obligation under 45 CFR Part 164.
Digital Delivery, Deployment & Onboarding
This framework governs how software access is provisioned, how credentials are transmitted, how legacy data is ingested, and how the full platform is activated — all via secure, encrypted channels consistent with 45 CFR Part 164 administrative safeguards. Revenue RCM LLC maintains complete fulfillment verification logs for every engagement.
Onboarding timelines are set at contract execution and contingent on client prerequisites — IT infrastructure validation, BAA execution, and system requirements confirmation. Delivery failures from client-side firewalls, unsupported browsers, or network restrictions do not constitute a fulfillment failure by Revenue RCM LLC.
Cloud Infrastructure Provisioning
RevenuePro is deployed on enterprise-grade cloud infrastructure (AWS/Azure). Geographic delivery is restricted to U.S.-based entities only, consistent with domestic healthcare compliance standards.
Data Migration & Legacy Records
Migration timelines for EHR and legacy billing records are agreed at project initiation. Secure ingestion protocols ensure ePHI is transferred in compliance with HIPAA Security Rule requirements.
Training & Documentation Delivery
User manuals, video training, and API integration documentation are delivered electronically. A sandbox/test environment is provisioned for staff training before live deployment.
Scheduled rollouts follow a documented project plan. Emergency security patches and critical hotfixes are deployed server-side without advance client notice when threat-mitigation requirements demand immediate action. Upon completing deployment milestones, clients provide a signed operational readiness sign-off, and a hypercare support escalation period begins immediately after go-live.
Payment, Invoicing & Pricing Terms
Revenue RCM LLC uses a transparent, fixed-rate subscription pricing model scaled by practice size, active providers, and enabled modules. All pricing is in U.S. Dollars. Clients may pay via ACH, corporate credit card, or bank wire — with all card transactions processed through PCI-DSS compliant gateways using full tokenization.

Payment & Fee Policies

Billing Disputes
Clients must submit written notice of any billing dispute within the contractually specified window; disputes outside it are waived. Revenue RCM LLC investigates and responds within the timeframe in the service agreement.
Grandfathered Pricing Protections
Clients on legacy plans may retain grandfathered rates for the duration of their active term. Rate-lock provisions are detailed in the individual service agreement and do not extend automatically on renewal unless documented.
Enterprise Retainers & Deposits
Enterprise accounts may provide an upfront security deposit or retainer at contract initiation. Application, return conditions, and forfeiture terms are specified in the enterprise service agreement.
Chronic non-payment may result in withholding of all billing services, database suspension, and routing of the account to collections. Revenue RCM LLC reserves the right to pursue all legally available remedies for delinquent balances.
Every transaction, PCI-DSS protected
All payment processing is governed by the Payment Card Industry Data Security Standard (PCI-DSS) to protect sensitive financial information throughout every transaction.
ACH Bank Transfer
The preferred method for recurring monthly subscriptions — processed through verified merchant banking channels, typically settling within 2–3 business days.
Corporate Credit Card
Major corporate cards accepted via our PCI-DSS compliant, tokenized gateway. Card data is never stored in plain text. Processing surcharges may apply and are disclosed at payment.
Bank Wire Transfer
Accepted for enterprise accounts and annual prepayment arrangements. Wire instructions are provided on written request; clients cover all originating bank fees.
Independent Audit Billing
Requests for independent billing audits or forensic ledger reviews are subject to applicable service fees per the agreement, with reports delivered electronically.
Subscription Lifecycle, Auto-Renewal & Cancellations
Governed by the Restore Online Shoppers’ Confidence Act (ROSCA), 15 U.S.C. § 8401 et seq., and all applicable FTC auto-renewal guidelines. Every subscriber receives advance written notice of upcoming auto-renewals, and no subscription renews without affirmative consent obtained at initial enrollment.

Data access window provided
The lifecycle begins with a 7-day free trial. On expiration, the account transitions to a paid monthly subscription unless written cancellation notice is provided before the trial ends. Cancelling an active subscription requires a minimum 30-day written notice through authorized channels. Monthly fees are non-refundable after the 7-day trial window, and all sales of monthly subscription services are final in a B2B context.
Auto-Renewal Consent
Explicit written consent is obtained at enrollment per ROSCA. Email renewal notices are dispatched in advance of each billing cycle.
Cancellation Window
A 30-day written notice is required. Cancellations submitted without proper authorization or documentation will not be honored.
Data Access Post-Cancellation
A defined window for final data extraction is provided after cancellation. ePHI is purged per HIPAA data-destruction standards upon expiration.
Survival Clauses
HIPAA obligations, confidentiality requirements, and indemnification provisions survive termination and remain in full legal effect.
Account Suspension, Termination & Chargeback Policy
Revenue RCM LLC maintains enforceable rights to suspend, freeze, or permanently terminate any account under defined triggers. Suspension may occur immediately and without notice for regulatory or HIPAA breaches, material contract violations, or active legal proceedings. Standard non-payment suspension follows the dunning and notice procedures in the service agreement.

Offboarding Fees
Technical offboarding labor, data-extraction preparation, and chart exporting are subject to applicable offboarding processing fees, disclosed in the service agreement and due upon initiation of the offboarding workflow.
Chargeback Policy
Any unauthorized chargeback filed against Revenue RCM LLC results in immediate and permanent account revocation. We reserve the right to pursue recovery of all outstanding balances, chargeback fees, and associated legal costs through available commercial and legal remedies.
Subscription Restoration
Lapsed accounts seeking reinstatement must satisfy all outstanding back-balances and applicable reactivation fees prior to restoration. Restoration is at the sole discretion of Revenue RCM LLC.
Early termination of an enterprise contract prior to the agreed term end date may trigger liquidated-damages clauses as specified in the individual enterprise service agreement. Clients are advised to review termination provisions with legal counsel prior to executing cancellation notices.
Warranties, Service Performance & Liability
RevenuePro is provided on an “as-is” and “as-available” basis. While engineered to the highest standards, Revenue RCM LLC disclaims all implied warranties of merchantability, fitness for a particular purpose, and guaranteed collection performance. No warranty is made on payer reimbursement rates, claim approval outcomes, or revenue projections — these are subject to payer-specific adjudication beyond our control.
SLA & Uptime Guarantees
A defined Service Level Agreement governs system uptime and cloud-server availability. Service credits are the sole and exclusive remedy for SLA breaches, as defined in the agreement.
HIPAA & HITECH Compliance Warranty
Revenue RCM LLC warrants RevenuePro is built and maintained in compliance with 45 CFR Parts 160, 162, and 164. Security certifications and administrative safeguards are audited regularly.
OIG & False Claims Act Assurance
The platform supports ethical billing consistent with 31 U.S.C. §§ 3729–3733. Revenue RCM LLC warrants RevenuePro does not facilitate, enable, or encourage fraudulent billing submissions.
ADA & AMA Coding Compliance
RevenuePro maintains ADA-compliant accessibility standards (WCAG) across patient-facing interfaces. AMA CPT coding libraries are updated per annual AMA licensing requirements.
Liability Limitations, Indemnification & Legal Governance
Revenue RCM LLC’s aggregate liability for any cause of action shall not exceed the total fees paid by the client in the twelve (12) months immediately preceding the event giving rise to the claim. In no event is Revenue RCM LLC liable for indirect, consequential, incidental, special, or punitive damages — including lost revenue, lost profits, or business interruption — regardless of the theory of recovery.
Mutual Indemnification
Each party indemnifies, defends, and holds the other harmless from third-party claims arising from its own acts or omissions. Client obligations include claims arising from the accuracy of clinical documentation submitted for billing.
Class Action Waiver
All disputes are resolved on an individual basis. Clients expressly waive any right to participate in class-action litigation or representative proceedings of any kind.
Governing Law & Venue
Governed exclusively by the laws of the State of Montana. Litigation shall be brought exclusively in the appropriate state or federal court in Kalispell, Montana (Flathead County District).
Statute of Limitations
Contractual claims must be filed within the abbreviated limitations period specified in the service agreement, which may be shorter than the statutory default — applying to both parties.
Force Majeure
Performance obligations are suspended during Force Majeure events including natural disasters, grid failures, government-mandated shutdowns, or circumstances beyond either party’s reasonable control.
Malware & Ransomware Protection
Enterprise-grade cybersecurity — intrusion detection, encrypted storage, and regular penetration testing. Absolute immunity from all attack vectors is not warranted; Force Majeure may apply in catastrophic breach scenarios beyond reasonable control.
Disaster Recovery & Data Backup
A documented business-continuity and disaster-recovery plan with geographically redundant secure data mirrors and scheduled backup intervals, designed to minimize data loss and service interruption in a declared disaster.
Clean Code Warranty
Revenue RCM LLC warrants RevenuePro contains no disabling code, logic bombs, backdoors, or malicious programming elements. The codebase is subject to ongoing internal security vetting and third-party code review.

These Billing, Fulfillment & Subscription Terms constitute a binding legal framework governing the commercial relationship between Revenue RCM LLC and its RevenuePro clients. All 100 operational policy topics across the four sections are incorporated by reference into each client’s executed service agreement.
If any provision is found invalid or unenforceable by a court of competent jurisdiction, it is severed and all remaining provisions continue in full force without alteration. Revenue RCM LLC reserves the right to update or amend these terms with appropriate advance notice as required by applicable law and the individual service agreement.
