Terms & Conditions

This agreement governs the relationship between Revenue RCM LLC and all clients, users, and healthcare providers who access or use the RevenuePro revenue cycle management platform. It protects your business, your intellectual property, and establishes the legal responsibilities binding all parties under federal and state healthcare law.

This Terms & Conditions agreement is a legally binding document. Healthcare providers, practice administrators, and compliance officers should review each section carefully before executing any service agreement with Revenue RCM LLC.

Section 1 of 5

General Terms, Acceptance & Definitions

The foundational terms establish the legal basis for your relationship with Revenue RCM LLC — who may use RevenuePro, how the agreement is accepted and modified, and the framework under which every subsequent term is interpreted. Every user is bound from the moment they access or activate the platform.

01 — Acceptance of Terms

Acceptance of Terms of Service

By accessing or using RevenuePro, the client enters a legally binding agreement with Revenue RCM LLC. Continued use constitutes ongoing acceptance of all terms as currently published, superseding all prior oral or written representations.

02 — Definitions

Key Legal & RCM Terms

Capitalized terms carry specific meanings — including Protected Health Information (PHI), Business Associate, Covered Entity, Claim, Payer, and Revenue Cycle. Consult the full definitions glossary before executing this agreement.

03 — Scope of Services

Scope of RCM Services

Services include claim submission, denial management, payment posting, and reporting analytics. Excluded items — legal advice, clinical decision support, or direct patient billing disputes — remain the sole responsibility of the client practice.

04 — Modifications

Modifications to Terms

Revenue RCM LLC may modify these Terms at any time. Clients receive advance notice via email no less than 30 days before material changes take effect. Continued use after the effective date constitutes acceptance.

05 — Eligibility

Eligibility to Use RevenuePro

Available exclusively to licensed healthcare providers, credentialed medical billing professionals, and authorized staff aged 18 or older — who must not appear on any OIG or CMS exclusion list during the term of service.

06 — E-Communications

Electronic Communications & Consent

Clients consent to receive communications electronically in compliance with the E-Sign Act. Digital signatures are legally valid and binding.

07 — Warranties

Client Representations & Warranties

Clients warrant they hold valid medical licenses, are authorized to enter this agreement, and that all submitted billing data is accurate and lawful.

08 — Relationship

Relationship of the Parties

Revenue RCM LLC operates as an independent contractor. Nothing herein creates an employment, agency, joint venture, or partnership relationship.

09 — Severability

Severability Clause

If any provision is held unenforceable, the remaining provisions continue in full force and effect without modification.

10 — Entire Agreement

Entire Agreement Clause

This agreement, together with any executed BAA and Order Form, constitutes the entire understanding between the parties and supersedes all prior negotiations, representations, and agreements.

Software Licensing & Acceptable Use

These provisions govern how RevenuePro may be accessed, used, integrated, and protected. Revenue RCM LLC grants a limited, non-exclusive, non-transferable license — strictly in accordance with this agreement. Misuse or unauthorized access may result in immediate suspension and legal action.

11 — License

Grant of Software License

A non-exclusive, non-sublicensable SaaS license to access RevenuePro for internal revenue cycle operations. No ownership interest in the software, code, algorithms, or IP is conveyed.

12 — IP Protection

Protection of Intellectual Property

All code, UI designs, workflows, branding, trademarks, and proprietary methodologies remain the exclusive property of Revenue RCM LLC. Unauthorized reproduction or derivative works are strictly prohibited.

13 — Prohibited Uses

Prohibited Uses of RevenuePro

No unlawful purposes, data scraping, competitive intelligence gathering, or activity that disrupts platform integrity. Malware, unauthorized access, and fraudulent claims are expressly forbidden.

14 — Account Security

Account Registration & Security

Each user registers with accurate credentials and must safeguard login confidentiality. Suspected unauthorized access must be reported immediately. Password sharing is strictly prohibited.

15 — Maintenance

Software Updates & Maintenance

Revenue RCM LLC may perform scheduled maintenance, updates, and upgrades at its discretion, with advance notice of planned downtime. It is not liable for revenue impact from good-faith maintenance windows.

16 — API & Integrations

Third-Party Integrations & API Use

API access is granted solely for approved integrations including EHR connectivity. API keys must be safeguarded and never shared. Access may be revoked for security, compliance, or operational risk.

17 — Requirements

Client Hardware & Network Requirements

Clients maintain compatible hardware, supported browsers, and adequate connectivity. Performance is not warranted on unsupported configurations or networks below recommended bandwidth.

18 — Suspension

Suspension for Policy Violations

Accounts may be suspended immediately upon verified breach of acceptable use — with or without prior notice. Written notice of suspension is provided via registered email within 24 hours.

19 — Data Ownership

Data Ownership & IP Rights

Clients retain ownership of all individually identifiable patient data. Revenue RCM LLC may use de-identified, aggregated data for platform improvement, subject to all HIPAA privacy standards.

20 — Reverse Engineering

Reverse Engineering Prohibition

Clients may not decompile, disassemble, reverse engineer, or derive source code by any means. Violations constitute IP infringement and may result in civil and criminal liability.

Financial Terms, Billing & Subscriptions

All financial terms governing the RevenuePro subscription — fee structures, billing cycles, dispute processes, cancellation rights, and post-termination data handling. Review these with your accounting and legal counsel before execution.

Subscription & Fees · Topics 21–22

21 — Subscription Fees.

Billed monthly or annually per the executed Order Form. Annual subscribers receive preferred pricing, billed in advance for the full term. Mid-cycle scope changes may prorate to the day of change.

22 — Commission & Contingency Fees.

Where active billing and collections services are provided, fees may be a percentage of collected revenue. Rates are set in your Service Agreement and are not negotiable post-execution without written amendment.

Payments, Taxes & Disputes · Topics 23–25

23 — Late Payments.

Invoices unpaid within 30 days accrue 1.5% monthly interest or the maximum permitted by Montana law, whichever is lesser. Persistent non-payment may suspend service.

24 — Taxes.

Clients are responsible for applicable sales, use, and regulatory fees, except where Revenue RCM LLC must collect and remit. SaaS may be subject to state-specific tax treatment.

25 — Billing Disputes.

Submit written dispute claims within 30 days of the invoice date. Late disputes are not honored. Revenue RCM LLC responds within 15 business days.

26 — Tier Changes

Upgrading & Downgrading

Upgrades are effective immediately; downgrades take effect at the next billing cycle. Proration applies to upgrades only.

27 — Client Cancellation

Cancellation by Client

Provide 30-day written notice to cancel. Cancellation during an annual term does not entitle a pro-rata refund of prepaid fees.

28 — Termination by RCM

Termination by Revenue RCM

May terminate for material breach, non-payment, regulatory violation, or at-will with 30-day notice. Termination for cause is effective immediately on written notice.

29 — Data Export

Data Export on Termination

Clients have 60 days to export all practice data and PHI. After this period, data may be permanently deleted per the retention policy.

30 — Refund Policy

Refund Policies & Guarantees

Setup and onboarding fees are non-refundable. Monthly subscription fees are non-refundable once a billing cycle commences. Charges disputed and resolved in the client’s favor are applied as a credit to the next invoice.

Compliance, Legal Obligations & Data Handling

The most operationally critical provisions. Providers carry independent legal obligations under HIPAA, HITECH, OIG, CMS, ADA, AMA, and federal fraud statutes that are not diminished or transferred by using RevenuePro. Revenue RCM LLC functions as a Business Associate and requires a mandatory BAA before any PHI is transmitted.

31 — BAA

Mandatory BAA Execution

No PHI may be processed until a fully executed Business Associate Agreement is on file. The BAA is a prerequisite for activation and must be renewed on material changes to the relationship or HIPAA regulations.

32 — FCA Coding

Accurate Medical Coding (FCA)

Clients bear sole responsibility for code accuracy. Upcoding, unbundling, and billing for services not rendered violate the False Claims Act (31 U.S.C. §§ 3729–3733) and may carry civil and criminal penalties.

33 — HIPAA/HITECH

Client HIPAA & HITECH Adherence

As Covered Entities, clients independently fulfill all HIPAA Privacy, Security, and Breach Notification Rule obligations. HITECH-enhanced penalties apply to willful neglect.

34 — OIG/HHS/CMS

OIG, HHS & CMS Compliance

Verify billing and coding conform to CMS coverage policies and LCD/NCD requirements. Periodically check the OIG LEIE for all rendering and billing providers.

35 — ADA

ADA Compliance in Operations

Clients warrant their operations comply with the Americans with Disabilities Act — including facility accessibility, patient communications, and billing processes, to the extent required by law.

36 — AMA Ethics

AMA Ethical Standards

Clients acknowledge AMA ethical guidelines on billing integrity — prohibiting fraudulent documentation, improper financial relationships, and practices that compromise patient or payer trust.

37 — Breach

Breach Notification Responsibilities

On a PHI breach, Revenue RCM LLC notifies the client within HIPAA’s required timeframe. Clients remain responsible for patient notifications and HHS reporting. Both parties cooperate fully in investigation and remediation.

38 — Subpoenas

Subpoenas & Legal Data Requests

On a valid subpoena, court order, or law enforcement request, Revenue RCM LLC promptly notifies the client where permitted and protects PHI during any legal hold. Clients retain their own legal counsel.

39 — FWA

Prevention of Fraud, Waste & Abuse

A zero-tolerance policy applies. Clients cooperate with any FWA investigation. Use of RevenuePro to facilitate conduct under 18 U.S.C. § 1347 or the Anti-Kickback Statute results in immediate termination and referral to authorities.

40 — CMS Audits

CMS Audits & Client Cooperation

During a payer or CMS audit, clients provide all requested documentation. Revenue RCM LLC provides reasonable reporting and claims data assistance, provided the client is not in breach and fees are current.

Disclaimers, Liability & Dispute Resolution

The final category allocates legal risk between Revenue RCM LLC and its clients. These provisions are standard in SaaS and healthcare technology agreements, drafted to meet Montana state law and applicable federal statutes. Have qualified legal counsel review this section in its entirety.

41 — As-Is

“As-Is” Software Disclaimer

RevenuePro is provided “as-is” and “as-available.” All warranties — express or implied, including merchantability, fitness, and non-infringement — are disclaimed. Error-free, uninterrupted operation is not warranted.

42 — Liability Cap

Limitation of Liability

To the maximum extent permitted, total cumulative liability shall not exceed the fees paid in the three months preceding the claim. No liability for indirect, incidental, punitive, or consequential damages.

43 — Client Indemnity

Client Indemnification

Clients indemnify and hold harmless Revenue RCM LLC against claims arising from breach, negligence or willful misconduct, legal violations, or inaccurate billing data and improper coding.

44 — RCM Indemnity

Indemnification by Revenue RCM

Revenue RCM LLC defends clients against third-party claims that RevenuePro as delivered infringes a valid U.S. patent, copyright, or trademark — excluding client modifications or unauthorized use.

45 — Force Majeure

Force Majeure

Neither party is liable for delays from circumstances beyond reasonable control — natural disasters, government acts, third-party cyberattacks, telecom failures, or global health emergencies. Prompt written notice is required.

46 — Governing Law

Governing Law & Jurisdiction

Governed by Montana law without regard to conflict-of-law principles. Proceedings fall under the exclusive jurisdiction of courts in Flathead County, Montana, unless arbitrated.

47 — Arbitration

Binding Arbitration

Disputes are resolved by binding arbitration under American Arbitration Association rules, held in Kalispell, Montana, or by remote hearing. The arbitrator’s decision is final and enforceable.

48 — Class Waiver

Class Action Waiver

Both parties waive any right to class action or class-wide arbitration. All disputes proceed on an individual basis. This material term survives termination.

49 — Limitations

Statute of Limitations

Any claim must be filed within one year after it arose, regardless of any contrary statute. Claims not brought in this period are permanently barred — applying equally to both parties.

HIPAA / HITECH

Client obligations: Execute a BAA, safeguard PHI, report breaches within required timeframes, and maintain Security Rule compliance.

FCA · 31 U.S.C. 3729

Client obligations: Accurate coding only — no upcoding, no phantom billing — under a zero-tolerance fraud standard.

CMS / OIG / HHS

Client obligations: Check LEIE exclusion lists, follow LCD/NCD policies, and cooperate fully with CMS audits.

ADA / AMA

Client obligations: Accessible, ethical patient billing and honest, accurate documentation.

18 U.S.C. § 1347

Client obligations: No conduct constituting health care fraud; full cooperation with any internal or governmental investigation.

Montana Law

Governing jurisdiction: Binding arbitration in Kalispell; Flathead County courts for any non-arbitrated proceeding.

Failure to comply with any of the five regulatory frameworks may result in immediate service termination, referral to federal or state regulatory authorities, and independent civil or criminal liability — wholly separate from any obligations or penalties incurred under this agreement.

  • Protect all client and patient data using industry-standard security controls

By activating a RevenuePro account, executing an Order Form, or submitting any data through the platform, the client acknowledges they have read, understood, and agreed to all 50 Terms & Conditions. Together with the executed BAA and any Order Form, this constitutes the entire and binding agreement.

Before You Sign

  • Review all 50 Terms & Conditions with qualified legal counsel
  • Confirm your practice holds a valid medical license in your operating jurisdiction
  • Ensure your designated BAA signatory has authority to bind the practice
  • Verify no rendering or billing providers appear on the OIG LEIE
